achieve client goals. He also provides outside counsel on business formation,
governance, and operational issues, focusing on proactive risk reduction. He has
extensive experience addressing unique issues encountered by businesses with cross-
border operations in the United States and Mexico.
Mr. Ayers represents produce and agricultural industry clients, including farmers,
distributors and brokers, seed and fertilizer sellers, and greenhouse distributors in
connection with Perishable Agricultural Commodities Act, Food Security Act, breach of
contract, product liability, and breach of fiduciary duty lawsuits and USDA administrative
claims. He regularly handles complex cross-border litigation issues for produce industry
clients, including forum non conveniens, abstention, choice of law, personal and subject
matter jurisdiction, removal jurisdiction, service of process abroad, recognition and
enforcement of foreign judgments, and taking of discovery abroad.
Mr. Ayers’ other business clients include manufacturers, HOAs, commercial landlords,
contractors, event organizers, cosmetics companies, medical services providers,
transportation companies, restaurants, and entrepreneurs. He handles a wide array of
business lawsuits, including breach of contract, negligence, fraud, conversion,
interference with contract, wrongful termination, and unfair competition claims. Mr. Ayers
also regularly advises and assists clients with corporate and regulatory compliance,
